1. Acceptance of Terms

By accessing or using the Joon Distribution wholesale platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Platform.

2. Wholesale Accounts, B2B Only

The Platform is exclusively available to licensed business-to-business (B2B) wholesale customers. By creating an account, you represent and warrant that:

  • You are at least 21 years of age
  • You are acting on behalf of a legitimate, registered business entity
  • Your business holds all licenses, permits, and registrations required by applicable federal, state, and local laws to purchase, possess, and resell the products you order
  • All information provided during account registration is accurate and complete

Joon Distribution reserves the right to verify this information at any time and to suspend or terminate accounts that do not comply.

3. Licensed Products and Compliance Obligations

Our catalog includes vape devices, e-liquids, cannabis accessories, and related products that are subject to age-restricted sale and distribution laws that vary by jurisdiction.

You are solely responsible for ensuring that all products you purchase are legal to buy, possess, and resell in your jurisdiction.

Joon Distribution makes reasonable efforts to maintain a compliant catalog but does not guarantee compliance with all local laws or regulatory changes. By placing an order, you certify your compliance with all applicable laws.

4. Orders and Payment

  • All orders are binding upon placement
  • Prices are subject to change without notice
  • Payment must be received before orders are fulfilled

We accept major credit cards, ACH bank transfers, and Net 30 terms for qualified accounts. Net 30 terms are granted at Joon Distribution’s sole discretion and may be revoked at any time.

Unpaid invoices may incur late fees and may result in account suspension.

5. Shipping and Returns

All shipping and returns are governed by our Shipping & Returns Policy, which is incorporated into these Terms by reference.

All sales are final except for items that are damaged, defective, or incorrectly fulfilled, as outlined in that policy.

6. Account Suspension and Termination

Joon Distribution reserves the right to suspend or terminate any account, with or without notice, for reasons including but not limited to:

  • Violation of these Terms
  • Non-payment
  • Fraudulent activity
  • Failure to maintain required licenses

Termination does not relieve you of any outstanding payment obligations.

7. Intellectual Property

All content on the Platform—including product images, descriptions, brand assets, and design elements—is the property of Joon Distribution or its suppliers and is protected by applicable intellectual property laws.

You may not reproduce, republish, or distribute any content without prior written permission.

8. Disclaimer of Warranties

THE PLATFORM AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

JOON DISTRIBUTION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT

We do not guarantee that product listings are accurate, complete, or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Joon Distribution shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

  • Your use of the Platform
  • Your purchase of products

This applies even if we have been advised of the possibility of such damages.

Our total liability shall not exceed the amount you paid for the specific order giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Joon Distribution, its officers, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any applicable law

11. Governing Law
